T-CURX has signed a definitive agreement to acquire Pantherna Therapeutics. Under the agreement, Pantherna Therapeutics will operate as a wholly owned subsidiary of T-CURX. The acquisition aims to accelerate the clinical translation of non-viral, transposon-based in vivo CAR-T therapies by combining T-CURX’s proprietary CAR-T platforms with Pantherna’s PTXmRNA® and PTXΔLNP® delivery technologies, enabling earlier entry into clinical trials and expansion of in vivo CAR-T applications beyond cancer.
Strategic rationale for the acquisition
T-CURX is recognized for its strong expertise and proprietary, clinically validated, transposon-based non-viral CAR-T technology targeting novel and differentiated antigens.
Pantherna Therapeutics brings deep expertise in LNP-based delivery of mRNA and DNA vectors, supported by a group of private investors and Germany-based High-Tech Gründerfonds (HTGF). Following completion of the transaction, Pantherna’s investors, including HTGF, will become new shareholders of T-CURX.
By integrating Pantherna’s proprietary PTXmRNA® and PTXΔLNP® platforms with T-CURX’s non-viral CAR-T technologies, T-CURX expects to advance its innovative in vivo CAR-T assets into clinical trials approximately one year earlier than previously planned. The combined capabilities are designed to de-risk and potentiate in vivo CAR-T development and to support the expansion of CAR-T therapies into indications beyond oncology.

The combination of T-CURX and Pantherna Therapeutics positions T-CURX as a leading next-generation CAR-T player in Europe, and the first European biotech company to unite proprietary CAR-T and LNP technologies under one roof.
